Draft template — not yet reviewed by counsel. This describes the Service as it currently exists in the Signal codebase. The contracting party is ONX, a sole proprietorship registered in Pakistan (Karachi). Its proprietor's full legal name is not published here and is available on request rather than named in this document — note for the business: since a sole proprietorship isn't a separate legal person, a contract that never names its actual owner can be harder to enforce if a dispute arises, so have a licensed attorney confirm this is acceptable. They should also review the liability, indemnification, and governing-law sections, and whether operating as a sole proprietorship (with personal, unlimited liability for its owner) is the structure you want here, before relying on this as a binding contract.

These Terms & Conditions ("Terms") govern access to and use of Signal, a digital product operated by ONX (the "Service"), by the business that registers an account ("Merchant", "you"). By creating an account, connecting a store, or using the Service, you agree to these Terms on behalf of the business you represent. If you do not agree, do not use the Service.

The Service is provided by ONX ("Signal", "we", "us"), a sole proprietorship registered in Pakistan. As a sole proprietorship, ONX has no separate legal personality from its owner — the individual proprietor, whose full legal name is available on request by emailing legal@onx.digital, is the actual contracting party and bears the rights and obligations described in these Terms personally.

1. What Signal is — and isn't

Signal identifies customers with a history of frequent delivery refusals — such as repeatedly refusing a cash-on-delivery package or causing a customer-caused return to origin (RTO) — by analyzing a customer's own recorded delivery outcomes (tied primarily to their phone number), and produces a score and supporting reasons intended to help you decide whether to fulfil an order.

The Service is advisory only, and it is not a fraud-detection tool. Signal does not run fraud, identity, or credit checks, and a score is not an accusation of fraud or wrongdoing — it reflects a customer's own recorded delivery history and nothing more. Scores are statistical estimates, not a guarantee of how any specific order will turn out. You remain solely responsible for every decision you make about accepting, holding, fulfilling, or cancelling an order, and for compliance with your own obligations to your customers, payment processors, and applicable law. Signal is not a consumer reporting agency, does not make eligibility decisions on your behalf, and its output must not be treated as a substitute for your own judgment or compliance program.

2. Accounts and eligibility

  • You must be an authorized representative of the business you register, and the information you provide at signup must be accurate.
  • You are responsible for maintaining the confidentiality of your login credentials and any API/integration tokens generated for your account, and for all activity that occurs under them.
  • Notify us immediately at security@onx.digital if you suspect unauthorized access to your account or a leaked integration token.

3. Your data, your responsibility as controller

Where you submit your own customers' personal data (such as phone numbers and order details) to the Service, you remain the data controller of that data, and Signal processes it solely as your service provider/processor, on your documented instructions, as described in our Privacy Policy and any Data Processing Addendum executed between us. You represent that:

  • you have a lawful basis and, where required, appropriate notice or consent, to collect and share that data with Signal for delivery-outcome and refusal-history tracking purposes; and
  • if you enable "Network mode" (cross-merchant aggregated risk sharing, described in our Privacy Policy), you have confirmed that doing so is consistent with your own privacy notice and applicable law in every jurisdiction your customers are located in.

We will make available a Data Processing Addendum on request for Merchants who need one to satisfy their own GDPR/CCPA obligations.

4. Subscriptions, billing, and plan changes

  • Access to the Service is billed according to the plan you select, typically on a monthly credit allotment. Enterprise or high-volume pricing is agreed separately by contacting sales-signal@onx.digital.
  • As of this version, plans are billed by offline invoice — no payment card is collected through the Service. Unless an invoice states otherwise, payment is due within 30 days of the invoice date (net 30).
  • We may suspend access for accounts with significantly overdue invoices, after reasonable notice.
  • Fees, once invoiced, are governed by our Refund Policy.
  • We may introduce card or usage-based billing in the future; if we do, these Terms and the Refund Policy will be updated first and you will be notified before it applies to your account.

5. Acceptable use

You agree not to:

  • use the Service for any unlawful purpose, or to discriminate against customers on a legally protected basis using risk output;
  • attempt to re-identify, de-anonymize, or reverse-engineer aggregated Network mode data;
  • share your login credentials or integration tokens with unauthorized third parties, or attempt to access another Merchant's data;
  • probe, scan, or interfere with the Service's infrastructure, or use it to build a competing product;
  • upload data you do not have the right to submit, including customer data collected without an adequate legal basis.

6. Intellectual property

Signal retains all rights, title, and interest in the Service, including its risk-scoring methodology, software, and branding. You retain all rights to the order and customer data you submit. You grant us a limited license to process that data solely to provide the Service to you (and, if you opt in, to contribute anonymized signal to Network mode as described in our Privacy Policy).

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT SCORES ARE ACCURATE, COMPLETE, OR THAT USING THE SERVICE WILL PREVENT DELIVERY REFUSALS, RETURNS, OR FAILED DELIVERIES.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNAL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE SERVICE OR RELIANCE ON A RISK SCORE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO SIGNAL IN THE SIX (6) MONTHS BEFORE THE CLAIM AROSE. Nothing in these Terms limits liability that cannot be limited by law (for example, liability for gross negligence, willful misconduct, or death or personal injury, where applicable).

9. Indemnification

You agree to indemnify and hold Signal harmless from claims, damages, and expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of applicable law, or your lack of a lawful basis to submit customer data to the Service.

10. Term, suspension, and termination

These Terms remain in effect while you maintain an account. Either party may terminate for convenience with notice; we may suspend or terminate immediately for breach of Section 5 (Acceptable use), non-payment, or legal requirement. On termination, we will process any outstanding data-deletion/redaction obligations as described in our Privacy Policy.

11. Governing law

These Terms are governed by the laws of Pakistan, without regard to conflict-of-law principles, and disputes will be resolved in the courts of Karachi, Pakistan, except where mandatory local consumer-protection or data-protection law in a Merchant's own country provides otherwise. Signal currently serves Merchants in Pakistan only; if the Service later expands to Merchants based elsewhere, this section should be revisited with counsel, since enforcing a Karachi venue against a foreign Merchant is not automatic.

12. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-product notice before they take effect; continued use of the Service after that point constitutes acceptance.
